1. Agreement and parties

These Terms of Service (“Terms”) are an agreement between you or the entity you represent (“Customer”, “you”) and Flow XO LLC, 4711 Muirfield Ct, Santa Rosa, CA, United States (“Flow XO”, “we”, “us”) for use of SignalSitter. By creating an account, accepting an order, or using SignalSitter, you agree to these Terms. If you use SignalSitter for an organization, you represent that you may bind it.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter this agreement. You must give accurate account information, keep authentication methods and issued credentials secure, promptly revoke credentials you believe are compromised, and remain responsible for activity under your account and organization. You may not share an individual login. Organization owners control membership and roles and are responsible for authorized users.

3. The service

SignalSitter accepts heartbeats and bounded numeric observations about automated work, applies configured deterministic rules and heartbeat deadlines, records incidents and recoveries, and sends signed, retried events to destinations the Customer configures. Available features and limits are those shown for the Customer’s current versioned plan in the product. SignalSitter is not an emergency, medical, life-safety, financial-settlement, or sole incident-response system. You are responsible for deciding whether the service, your monitoring configuration, and your independent fallback paths are appropriate for the consequences of a missed or delayed signal.

4. Acceptable use

You may use SignalSitter only lawfully and in accordance with these Terms. You must not: submit data or direct callbacks without the rights and permissions needed to do so; probe, scan, or access another customer’s account, monitors, data, or credentials; bypass authentication, quotas, rate limits, destination protections, or other technical controls; send malware, unlawful content, or traffic intended to damage or interfere with SignalSitter or another system; use the service to violate privacy, intellectual-property, export-control, sanctions, or other applicable law; or resell or provide the service as a bureau without our written agreement. We may investigate suspected abuse and refuse or remove data, traffic, destinations, or access where reasonably necessary to protect the service, customers, or the public.

5. Customer data and responsibilities

As between the parties, Customer retains its rights in data it submits to SignalSitter (“Customer Data”). Customer grants Flow XO and its service providers a worldwide, non-exclusive license to host, copy, transmit, transform, and otherwise process Customer Data only as needed to provide, secure, support, and comply with law for the service. Customer is responsible for the accuracy, legality, notices, consents, and instructions associated with Customer Data; its monitors, alert rules, callback destinations, and recipients; responding to people whose data it controls; and maintaining any independent records or backups it needs. Do not submit special categories of personal data, regulated health information, payment-card data, or government identifiers unless we have expressly agreed in writing to handle that data.

6. Plans, fees, taxes, and payment

The Free, Builder, Smart, and Scale plans and their versioned limits are shown in the product. Prices, currency, billing interval, and any prorations are the terms shown at checkout or in the Stripe Billing Portal when you confirm the transaction. Paid subscriptions renew each monthly billing cycle until cancelled. You authorize Stripe to charge the payment method you provide. Fees are exclusive of taxes unless checkout says otherwise. You are responsible for applicable sales, use, value-added, withholding, or similar taxes other than taxes on Flow XO’s net income. We may collect taxes where required. You may cancel a paid subscription through the Billing Portal. Cancellation is immediate: the paid subscription ends, the organization moves to the current Free plan, and unused paid time is not refunded except where law requires it. Free currently keeps the organization’s oldest monitor active and suspends additional monitors without deleting their data; the product shows the exact impact before cancellation. Suspended monitors can resume if plan capacity later becomes available. For a failed payment, Stripe retries under its provider schedule and the paid plan remains available only through the deadline Stripe supplies. The current provider schedule may retry for up to two weeks. If retries are exhausted or a chargeback is resolved against the Customer, the subscription ends and the organization moves to Free. SignalSitter does not create a separate grace period or promise that every retry schedule will last two weeks.

7. Privacy and data processing

The SignalSitter Privacy Statement explains how we process personal data and lists current service providers and subprocessors. When Customer Data contains personal data, Customer is the controller or business and Flow XO acts as processor or service provider for that data, except where the Privacy Statement identifies data for which Flow XO determines the purpose and means. SignalSitter does not currently publish a self-service data processing agreement. Contact privacy@signalsitter.com before submitting data that requires one. If the parties sign a data processing agreement or order form, that document controls over these Terms for the subject it specifically covers.

8. Intellectual property and feedback

Flow XO and its licensors own SignalSitter, including its software, design, documentation, and trademarks. These Terms give Customer a limited, non-exclusive, non-transferable, revocable right to use the service during the agreement; they do not transfer ownership. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing Customer Data.

9. Availability and support

We aim to operate SignalSitter reliably, but maintenance, provider failures, network conditions, software defects, and events outside our control can delay or prevent observations, incidents, exports, or deliveries. No service-level agreement, uptime commitment, support hours, or support-response time applies unless a separate written order signed by Flow XO expressly provides one. Support is available at support@signalsitter.com. Support diagnostics expose bounded status, timing, counts, and public identifiers; the support interface does not expose observation payloads or measurement values.

10. Suspension and termination

We may limit, suspend, or terminate access if you materially breach these Terms; create a security, legal, or operational risk; fail to pay; exceed enforced limits; or if continued service is prohibited by law. Where practical, we will give notice and an opportunity to cure, but we may act immediately when needed to prevent harm or comply with law. You may stop using SignalSitter at any time. Cancelling a paid subscription does not delete the organization; it moves the organization to Free as described in section 6. Deleting the organization is a separate action.

11. Export and deletion

Export available Customer Data before requesting organization deletion. The deletion request immediately ends access and export, revokes credentials, disables destinations, and cancels any paid subscription without a refund of unused time except where law requires one. A standard deletion can be reversed for 7 days through support; after that, production Customer Data is purged. If you choose immediate deletion, the purge begins without the reversal window. Payload-free tombstones, bounded usage aggregates, audit records, and records a provider or law requires may remain as described in the Privacy Statement. Deleting a monitor is immediate and irreversible. Archive rather than delete a monitor if you may need to restore it later. Termination does not relieve either party of obligations that accrued before termination.

12. Disclaimers

To the maximum extent allowed by law, SignalSitter is provided “as is” and “as available”. Flow XO disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the service will be uninterrupted or error-free; that an incident will be detected; that a callback will be delivered or read; or that data will never be lost. Nothing in these Terms excludes a warranty that applicable law does not allow us to exclude.

13. Limitation of liability

To the maximum extent allowed by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from or related to SignalSitter, even if advised that the damage was possible. Each party’s total aggregate liability arising from or related to SignalSitter and these Terms is limited to the greater of the fees Customer paid Flow XO for SignalSitter during the 12 months before the event giving rise to the first claim or US $100. The cap does not limit Customer’s payment obligations, either party’s fraud or wilful misconduct, or liability that law does not allow the parties to limit. Some jurisdictions do not allow certain exclusions or limits, so some of this section may not apply to you.

14. Changes to these Terms

We may change these Terms by publishing a revised version at https://signalsitter.com/terms. A material change takes effect 30 days after we post it or provide another notice, unless law or an urgent security issue requires an earlier effective date. Other changes take effect when posted. Continued use after the effective date means you accept the revised Terms. If you do not accept them, stop using the service and cancel or delete the organization before they take effect.

15. Governing law and disputes

California law governs these Terms without regard to conflict-of-laws rules. The state courts in Sonoma County, California, and the federal courts in the Northern District of California have exclusive jurisdiction over disputes arising from these Terms or SignalSitter. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in this section removes a consumer or data-protection right that the law where you live does not allow you to waive.

16. General and contact

Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, sale of assets, or by operation of law. If one provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms and any signed order or data processing agreement are the entire agreement about SignalSitter, and an expressly conflicting signed document controls for its subject.
